These Terms and Conditions ("Terms") govern your use of the SageNook website and engagement with our thoughtful artificial intelligence advisory services. By using this site or submitting an enquiry, you agree to these Terms.

Services

SageNook provides AI strategy, advisory, architecture guidance, and governance consulting to business clients in Canada. We do not provide food, beverage, hospitality, or unrelated consumer services.

Currency and pricing

All published prices, proposals, invoices, and retainers are quoted in Canadian dollars (CAD) unless otherwise stated in a signed statement of work. Applicable federal and provincial taxes (including HST where required in Ontario) are additional unless a written quote specifies tax-inclusive pricing.

Proposals and acceptance

Website pricing is indicative. Binding scope, fees, and timelines are set out only in a written proposal or master services agreement signed by both parties. We may decline engagements that fall outside our expertise or risk tolerance.

Client responsibilities

You agree to provide accurate enquiry information, timely access to stakeholders and systems needed for delivery, and lawful use of any deliverables. You remain responsible for decisions made using our counsel.

Intellectual property

Unless otherwise agreed, SageNook retains ownership of methodologies, templates, and pre-existing materials. Upon full payment, you receive a licence to use project-specific deliverables for internal business purposes as described in your statement of work.

Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only for the engagement. Confidentiality survives termination for three years, except information that becomes public through no fault of the receiving party.

Limitation of liability

To the maximum extent permitted by applicable law in Canada, SageNook's aggregate liability arising from any engagement shall not exceed the fees paid by you for that engagement in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages, or for third-party model or cloud provider outages beyond our reasonable control.

Indemnity

You will indemnify SageNook against claims arising from your misuse of deliverables, unlawful data provided to us, or deployment decisions made without following agreed governance guidance.

Termination

Either party may terminate a fixed-term retainer on thirty days' written notice unless a statement of work specifies otherwise. Fees for work performed through the termination date remain payable.

Governing law

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict-of-law rules. Disputes shall be brought in the courts of Ontario, Canada, and you attorn to their jurisdiction.

Privacy

Our collection and use of personal information is described in our Privacy Policy, which aligns with PIPEDA.

Changes

We may update these Terms by posting a revised version on this site. Material changes apply to new engagements after the posted date.
